1) About these Terms

UGC Deal Tracker is provided by The UGC Playbook LTD (“we”, “us”, “our”).

These Terms apply to your use of the App and related support channels. If you do not agree, do not use the App.

2) Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. If you are under the age of majority where you live, you should use the App only with a parent/guardian’s permission.

3) License & ownership

The App and its content (including design, interface, text, and code) are owned by The UGC Playbook LTD or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or internal business use, subject to these Terms and applicable platform rules.

Restrictions

You may not (except where the law allows):

• Copy, modify, reverse engineer, decompile, or attempt to extract the source code of the App.
• Sell, resell, rent, lease, distribute, or sublicense the App.
• Use the App to infringe rights, break laws, or facilitate unlawful activity.

4) Your content & data

You own the information you enter into the App (such as brand names, notes, deliverables, due dates, and payment status).

The App is designed so your entries are stored locally on your device for the core tracking experience. You are responsible for maintaining your own backups via device settings and for keeping your device secure.

5) Acceptable use

You agree not to misuse the App. You must not:

• Use the App to store, transmit, or facilitate unlawful content.
• Attempt to interfere with, attack, or disrupt the App’s security or integrity.
• Use the App to harass, threaten, defraud, or harm others.
• Use the App in any way that violates applicable laws or regulations.

6) App Store / Google Play terms

Your download and use of the App is also governed by the terms of the platform you downloaded it from (Apple App Store or Google Play).

Apple-specific terms

• Acknowledgement: These Terms are between you and The UGC Playbook LTD, not Apple. Apple is not responsible for the App or its content.
• Scope of license: Your license is limited to use of the App on Apple-branded products you own or control and as permitted by the App Store’s rules.
• Maintenance and support: We are responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.
• Warranty: Apple has no warranty obligation for the App. To the extent any warranty exists under law, any claims are against The UGC Playbook LTD, not Apple.
• Product claims: The UGC Playbook LTD, not Apple, is responsible for addressing claims relating to the App (including product liability, legal compliance, and consumer protection claims).
• IP claims: In the event of a third-party claim that the App infringes intellectual property rights, The UGC Playbook LTD, not Apple, is responsible for investigating, defending, settling, and discharging such claims.
• Third-party beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

7) Updates & availability

We may update the App to improve performance, fix bugs, add features, or address security issues. Some updates may be required for the App to continue working properly.

We may modify, suspend, or discontinue the App (in whole or in part) at any time. Where reasonable, we’ll aim to do this in a way that respects users and platform policies.

8) Disclaimers

The App is provided on an “as is” and “as available” basis. We do not guarantee the App will be error-free, uninterrupted, or meet your requirements.

No professional advice: The App does not provide legal, financial, tax, or accounting advice. You should consult qualified professionals for those topics.

No guaranteed results: We do not guarantee that using the App will result in brand deals, income, or any specific outcome.

9) Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (for example, liability for death or personal injury caused by negligence, or fraud).

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, lost data, or business interruption).
• Our total liability for any claims relating to the App will not exceed the amount you paid for the App in the 12 months before the event giving rise to the claim (and if the App was free, our liability will be limited to a reasonable amount as required by law).

You are responsible for maintaining your own device security and backups. We are not responsible for loss of local data caused by device issues, deletion, or changes to your backup settings.

10) Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless The UGC Playbook LTD from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the App or violation of these Terms.

11) Termination

You may stop using the App at any time by uninstalling it from your device.

We may suspend or terminate access if you breach these Terms or if we must do so for legal or security reasons.

12) Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date and may provide additional notice where appropriate.

13) Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction, unless your local consumer protection laws require otherwise.
